{"id":3080,"date":"2020-08-27T00:29:46","date_gmt":"2020-08-27T00:29:46","guid":{"rendered":"https:\/\/conservisabogados.com\/?p=3080"},"modified":"2025-07-17T15:01:17","modified_gmt":"2025-07-17T21:01:17","slug":"requirements-to-create-a-company-in-guatemala-2","status":"publish","type":"post","link":"https:\/\/www.conservisabogados.com\/en\/requirements-to-create-a-company-in-guatemala\/","title":{"rendered":"Requirements to Create a Company in Guatemala"},"content":{"rendered":"<pre style=\"text-align: right;\"><a href=\"https:\/\/www.conservisabogados.com\/en\/blog\/requirements-to-create-a-company-in-guatemala\/\"> available in Spanish.<\/a><\/pre>\r\n<p>In order to register a company in Guatemala, it is important to know that there are two ways to accomplish it:<\/p>\r\n<ol>\r\n<li>As an individual trader.<\/li>\r\n<li>Or through a trading company or a limited company.<\/li>\r\n<\/ol>\r\n<p>It is important to count on professional advice from <a href=\"https:\/\/www.conservisabogados.com\/en\/conservis-law-firm-in-guatemala\/\">Lawyers in Guatemala<\/a>, to ensure proper registration in the Commercial Registry.<\/p>\r\n<p>The process of registering an individual trader can take 1 to 2 weeks, after which the Commercial Registry will issue a business license that may list one or more individuals as co-owners.<\/p>\r\n<p>The process for registering a limited company is more complex, because it is necessary to draw up a public deed for a business entity, which must be prepared by a notary, and its registration can take 2 to 3 weeks.<\/p>\r\n<p>When you register a Limited Company, the Commercial Registry will provide 2 licenses:<\/p>\r\n<ol>\r\n<li>Trading Company License.<\/li>\r\n<li>Limited Company Trading License, and the latter will be the owner of the trading company.<\/li>\r\n<\/ol>\r\n<p>In the Partnership Agreement, there will be different stipulations or clauses established, such as:<\/p>\r\n<ul>\r\n<li>Name of the Limited Company.<\/li>\r\n<li>Commercial Name.<\/li>\r\n<li>Commercial property.<\/li>\r\n<li>Paid-in capital.<\/li>\r\n<li>Distribution of shares.<\/li>\r\n<li>Partner names, partner contributions.<\/li>\r\n<li>Appointment of Legal Representative.<\/li>\r\n<li>And others.<\/li>\r\n<\/ul>\r\n<p>Both entities are registered in the Commercial Registry. However, in addition to the differences mentioned above, there are different procedures for registering each one, which are detailed below.<\/p>\r\n<h2><strong>REQUIREMENTS AND STEPS FOR REGISTERING AN INDIVIDUAL TRADER AND A TRADING COMPANY:<\/strong><\/h2>\r\n<ol>\r\n<li>Complete the registration form for Individual Traders and Trading Companies provided by the Commercial Registry.<\/li>\r\n<li>Pay the applicable fees at a Banrural branch.<\/li>\r\n<li>Submit the application to the Commercial Registry along with the following documents:\r\n<ol>\r\n<li>Printed and signed form.<\/li>\r\n<li>A copy of the owner&#x27;s personal identification document and a bill confirming the company&#x27;s location.<\/li>\r\n<li>Pick up the license at the Commercial Registry or download it from its website and affix the corresponding tax stamps.<\/li>\r\n<\/ol>\r\n<\/li>\r\n<\/ol>\r\n<h2><strong>REQUIREMENTS AND STEPS FOR REGISTERING A LIMITED COMPANY:<\/strong><\/h2>\r\n<ol>\r\n<li>Fill out the application form to register a Trading Company.<\/li>\r\n<li>Please make the following tariff payments at a Banrural branch:\r\n<ul>\r\n<li>Publication of edicts of the Limited Company.<\/li>\r\n<li>Payment for the approval of the books.<\/li>\r\n<li>If the authorized capital does not exceed Q499,999.99, the fee is \u201c0.\u201d If the authorized capital exceeds Q500,000.00, an additional fee must be paid.<\/li>\r\n<\/ul>\r\n<\/li>\r\n<li>The application is reviewed by the Legal Department of the Commercial Registry and by a representative of the Superintendency of Tax Administration. If the submitted application meets all the requirements, the limited liability company will be registered and a tax identification number will be assigned.<\/li>\r\n<li>Present the following documents:\r\n<ul>\r\n<li>Application form.<\/li>\r\n<li>Original receipts.<\/li>\r\n<li>Testimony of the Partnership Agreement.<\/li>\r\n<li>Appointment of Legal Representative.<\/li>\r\n<li>Personal Identification Number of each partner.<\/li>\r\n<li>Bill that supports the company's address.<\/li>\r\n<li>Municipal ticket of the legal representative or the Notary.<\/li>\r\n<\/ul>\r\n<\/li>\r\n<li>The Commercial Registry will provide the following documents:\r\n<ul>\r\n<li>Partnership agreement in effect.<\/li>\r\n<li>Appointment of a legal representative completed.<\/li>\r\n<li>Limited Company Trading License (with the corresponding tax stamps).<\/li>\r\n<li>Trading License (with the corresponding tax stamps).<\/li>\r\n<li>Authorization stickers for books.<\/li>\r\n<\/ul>\r\n<\/li>\r\n<\/ol>\r\n<h2><strong>Should I choose a trading company or a limited company?<\/strong><\/h2>\r\n<p>When starting a business, it's common for many people to choose a trading company and an individual trader, and leave a limited company as a last or future option.<\/p>\r\n<p>This is mainly because registering a limited company is more expensive, which is why a trading company could be more convenient.<\/p>\r\n<p>This does not imply that a Limited Company is the best option. However, it is important to evaluate the legal, administrative, and financial benefits offered by each of these options.
